TERMS & CONDITIONS — Coinmerce Orange Goals Giveaway

1. Organiser

1.1 This campaign is organised by Coinmerce B.V., a private limited liability company incorporated under the laws of the Netherlands ("Coinmerce").

2. Campaign Period

2.1 The campaign consists of three (3) separate rounds, each corresponding to a group stage match of the Netherlands national football team at the international football tournament taking place in June 2026.

2.2 The campaign period runs from 14 June 2026, 00:00 CET, until 26 June 2026, 23:59 CET (the "Campaign Period").

2.3 The campaign relates to the three (3) group stage matches of the Netherlands national team:

Match 1: Netherlands vs Japan — 14 June 2026

Match 2: Netherlands vs Sweden — 20 June 2026

Match 3: Tunisia vs Netherlands — 26 June 2026

2.4 Qualifying actions completed outside the Campaign Period are not valid.

3. Eligibility

3.1 Participation is open to natural persons residing in an EU Member State.

3.2 Participants must be at least eighteen (18) years old at the time of participation.

3.3 Participants must hold a registered and active Coinmerce account.

3.4 By entering, participants confirm that they meet all eligibility requirements.

3.5 Employees of Coinmerce, affiliated companies, and their immediate family members are excluded from participation.

3.6 Coinmerce reserves the right to exclude participants located in jurisdictions subject to EU sanctions or AML restrictions.

4. Nature of the Competition

4.1 This campaign is a promotional giveaway. The winner per round is determined by a random draw from all eligible participants of that round.

4.2 A participant qualifies for the campaign by completing at least one (1) of the following actions at any time during the Campaign Period: a) Executing a trade on the Coinmerce platform; b) Opening a SpotMargin position on the Coinmerce platform; c) Referring a new user via the Coinmerce referral programme, where the referred user successfully registers during the Campaign Period.

4.3 A single qualifying action at any time during the Campaign Period is sufficient to participate in the campaign. No further action is required.

4.4 There is no minimum order size or minimum trade value required to qualify.

4.5 Completing multiple qualifying actions does not result in additional entries. Each participant receives a maximum of one (1) entry in the draw, regardless of the number of qualifying actions completed.

5. Winner Determination

5.1 One (1) draw will be conducted by Coinmerce after the final group stage match of the Netherlands national team, following the end of the Campaign Period on 26 June 2026, 23:59 CET.

5.2 The number of winners is determined as follows: one (1) default winner, plus one (1) additional winner for each goal scored by the Netherlands national team across the three group stage matches combined, subject to the prize pool cap set out in Article 6.

5.3 For the purpose of these Terms & Conditions, a "goal" means a goal credited to the Netherlands national team in the official final result of the applicable group stage match, after the application of VAR, including penalties awarded during regular play and own goals by the opposing team credited to the Netherlands. Goals scored in penalty shootouts do not count.

5.4 All winners are drawn at random from all eligible participants. Each draw produces a unique winner; each participant can win a maximum of one (1) prize.

5.5 Coinmerce's determination of eligible entries, draw results, and winners is final and binding.

5.6 Coinmerce reserves the right to interpret these Terms & Conditions and the mechanics of the campaign at its sole discretion. In the event of any ambiguity or dispute regarding the interpretation or application of the promotion, Coinmerce's interpretation shall be final and binding.

6. Prizes

6.1 Each winner receives a prize of €500 in Bitcoin (BTC).

6.2 The total prize pool of the campaign is capped at €5,000 (five thousand euros). This corresponds to a maximum of ten (10) winners: one (1) default winner plus a maximum of nine (9) goal-based winners. Goals scored beyond this cap do not result in additional winners.

6.3 The euro value of BTC prizes is determined at the end of the Campaign Period, on 26 June 2026 at 23:59 CET. The corresponding amount of BTC will be calculated based on this reference value.

6.4 BTC prizes will be credited directly to the winner's Coinmerce account after the draw and completion of the compliance checks set out in Article 7.

6.5 Due to the nature of crypto-asset markets, the value of BTC may fluctuate after the prize has been credited. Coinmerce is not responsible for any changes in value occurring after crediting.

6.6 Coinmerce reserves the right to substitute any prize with an alternative of equal or greater value if necessary due to availability or other circumstances.

7. Prize Payment and Compliance

7.1 Prior to prize distribution, winners may be required to provide information necessary to comply with applicable laws and regulations, including but not limited to anti-money laundering (AML) and sanctions screening obligations.

7.2 Coinmerce reserves the right to withhold or delay the distribution of any prize until all required compliance checks have been completed. In the event that a winner fails to meet compliance requirements, Coinmerce reserves the right to permanently withhold the prize, without any right to compensation.

7.3 Winners will be notified via the email address associated with their Coinmerce account within a reasonable period after the draw. Where appropriate, Coinmerce may additionally notify winners via in-app notification or other contact details associated with the account. It is the participant's responsibility to ensure that the contact details associated with their account are accurate and able to receive messages.

7.4 Winners must respond to the notification and provide any requested information within fourteen (14) days of being contacted, unless stated otherwise.

7.5 In the event that a winner forfeits their prize or is disqualified, Coinmerce reserves the right to draw an alternative winner from the remaining eligible participants.

7.6 Prizes will be distributed within a reasonable period after the Campaign Period has ended and all compliance checks have been successfully completed.

7.7 Failure to comply with the requirements set out in this section may result in forfeiture of the prize, without any right to compensation.

8. Tax

8.1 Coinmerce shall bear the Dutch gaming tax (kansspelbelasting) due on prizes where applicable, as well as any other taxes legally imposed on Coinmerce as organiser in connection with the campaign.

8.2 Winners are responsible for any personal income tax or reporting obligations arising in their jurisdiction of residence.

9. No Financial Advice

9.1 This campaign does not constitute investment advice, financial advice, or a recommendation to acquire crypto-assets.

9.2 Participation does not require the deposit of funds or the opening of new positions beyond those a participant may voluntarily choose to make.

10. Fraud and Abuse

10.1 The following conduct is prohibited: a) Use of automated scripts or bots; b) Creating multiple accounts or participating under false identities; c) Any other fraudulent behaviour intended to manipulate eligibility or entry volume.

10.2 Coinmerce may disqualify participants where abuse is suspected, without any right to compensation.

11. Technical Malfunctions

11.1 Coinmerce is not liable for interruptions, server failures, or other technical malfunctions affecting the platform or the registration of qualifying actions.

11.2 Coinmerce reserves the right to invalidate entries impacted by technical errors.

12. Amendments and Regulatory Reservation

12.1 Coinmerce reserves the right, at its sole discretion, to amend these Terms & Conditions, the campaign rules, the prizes, and the manner of entry at any time during the campaign period. Material amendments will be announced via the campaign page and/or other appropriate channels. Amendments shall not unreasonably prejudice entries that were validly submitted prior to the amendment.

12.2 Coinmerce reserves the right to amend, suspend, or terminate the campaign as a whole or in part where required by law, regulatory authority, or compliance considerations.

12.3 If crypto-asset distribution becomes legally or technically impossible, Coinmerce may substitute the prize with a euro equivalent of equal value.

13. Limitation of Liability

13.1 Coinmerce's liability in connection with this campaign is limited to the value of the prize allocated to the participant concerned.

13.2 Coinmerce shall not be liable for indirect or consequential damages.

14. Data Protection

14.1 Personal data is processed in accordance with Coinmerce's Privacy Policy and applicable GDPR requirements.

15. Force Majeure

15.1 Coinmerce shall not be liable for delay or cancellation caused by force majeure, including regulatory intervention, technical disruption, or market instability.

16. Governing Law and Disputes

16.1 These Terms & Conditions are governed exclusively by the laws of the Netherlands.

16.2 Any disputes arising out of or in connection with these Terms & Conditions or the campaign shall be submitted to the competent court in the Netherlands.

17. Complaints

17.1 Any complaints regarding the campaign must be submitted in writing to support@coinmerce.io within seven (7) days after the end of the Campaign Period.

17.2 Coinmerce will review and handle complaints within a reasonable timeframe and in accordance with applicable laws and regulations.

17.3 This campaign is conducted in accordance with the Dutch Gambling Authority's Code of Conduct for Promotional Games of Chance (Gedragscode Promotionele Kansspelen).
